Terms of Service

These Terms of Service (the “Terms”) are a binding agreement between you (the “customer,” “you,” or “your”) and JurisDeed, Inc. (“JurisDeed,” “we,” “us,” or “our”). They govern your access to and use of this website, the plan builder, and LienGuard, our subscription software for Louisiana tax-lien investors. Please read them carefully. They include important provisions about subscriptions, cancellation, refunds, the absence of investment and legal advice, disclaimers, and limits on our liability.
1. Acceptance of terms
By accessing or using this website, using the plan builder, subscribing to LienGuard, or clicking to accept these Terms at checkout, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you do not agree, do not use the site or subscribe to LienGuard.
If you are entering into these Terms on behalf of a company or other entity, you represent that you have authority to bind that entity, and “you” refers to that entity. You must be at least 18 years old and able to form a binding contract.
Checkout consent. When self-serve checkout is enabled, completing your purchase will require you to affirmatively check a box stating: “I agree to the Terms of Service and the Privacy Policy.” Checking that box and completing payment constitutes your acceptance of these Terms.
2. The service
LienGuard is software — an operating layer for Louisiana tax-lien investors. It is built to help you monitor positions and track deadlines and compliance obligations across the full tax-lien lifecycle: from auction, through ownership, to resolution (redemption, assignment, or referral for legal action). LienGuard organizes information, surfaces dates and tasks, and helps coordinate the steps in that lifecycle.
LienGuard is offered in tiers — Core, Pro, and Enterprise — with features and limits as described on the pricing page in effect at the time you subscribe. We may add, change, or remove features over time as the product evolves; we will not materially reduce the core functionality of a tier you are paying for during your then-current paid period without notice.
3. No investment advice / no guaranteed outcomes
LienGuard is informational and operational tooling only. It is not investment advice, legal advice, or tax advice, and it is not a substitute for professional advice. JurisDeed is not a registered investment adviser, broker-dealer, or financial planner, and nothing in LienGuard or on this site should be construed as a recommendation to make, hold, or dispose of any investment.
Tax-lien investing involves risk, including the risk of loss of principal. We do not guarantee any returns, redemptions, recoveries, or other outcomes. Deadlines, dates, calculations, and statuses presented by LienGuard are tools to assist you; you remain solely responsible for verifying all information against primary sources and for your own investment, legal, and tax decisions. Past results are not indicative of future performance.
4. Subscriptions & billing
LienGuard is sold as a paid subscription. Prices, included features, and any credit allotments are those shown on the pricing page at the time you subscribe. You may choose a billing cadence offered for your tier — typically monthly or annual. Annual plans are billed once at the start of each 12-month period; monthly plans are billed each month.
Payments are processed through Stripe, our payment processor, and support card and ACH bank payments where enabled. ACH (bank) payments are not instantaneous and typically take a few business days to clear; your access or activation may follow clearance. JurisDeed does not store full card or bank-account numbers. By providing a payment method, you authorize us (through Stripe) to charge that method for all amounts due, including recurring charges and applicable taxes.
Interim note. If self-serve checkout is not yet enabled at the time you contact us, your subscription will be set up directly with our team, and the same billing, renewal, cancellation, and refund terms in these Terms will apply once payment begins.
You are responsible for keeping your billing details current. Fees are stated exclusive of taxes; you are responsible for any sales, use, or similar taxes, other than taxes on our net income. Failed or reversed payments may result in suspension as described in the suspension and termination section.
5. Term, auto-renewal & cancellation
Unless stated otherwise on the pricing page, each LienGuard subscription has a 12-month term that automatically renews for successive 12-month terms at the then-current price, until cancelled. Monthly-cadence billing within that term does not change the 12-month commitment. We will use commercially reasonable efforts to notify you before a renewal where required by law.
How and when to cancel
You may cancel your subscription at any time by using the cancellation option in your account or billing portal (when available) or by emailing stephen@jurisdeed.com with your account details and a request to cancel. To stop the next automatic renewal, you must cancel before the end of your current term — that is, before the renewal date.
For review: the exact cancellation cut-off (for example, “at least 30 days before the renewal date”) and the self-serve cancellation mechanism need to be confirmed by JurisDeed and its counsel. Open item
Effect of cancellation
When you cancel, your subscription will not renew, but it remains active and you keep access through the end of the paid period you have already paid for. Cancellation stops future renewal charges; it does not, by itself, entitle you to a refund of amounts already paid (see the Refunds section). After your paid period ends, your access to LienGuard will end and your data will be handled as described in the Privacy Policy and in these Terms.
6. Refunds
We want LienGuard to be a fair purchase. As a default policy: a new subscriber may request a full refund within 14 days of the initial subscription charge, provided the account has not made material use of the service during that window. After that period, fees are generally non-refundable.
- Monthly plans: after the 14-day new-subscriber window, charges for the current month are non-refundable; you may cancel to prevent future charges.
- Annual plans: after the 14-day new-subscriber window, the annual fee is non-refundable for the remainder of the paid term; cancellation stops the next renewal.
- Credits and transactional services are addressed separately in the Credits section and may be treated differently from subscription fees.
For review: the refund window length, the “material use” threshold, and the precise annual-vs-monthly proration (if any) need to be confirmed by JurisDeed and its counsel. Open item
To request a refund, email stephen@jurisdeed.com. Approved refunds are issued to the original payment method through Stripe and may take several business days to appear. Nothing in this section limits any non-waivable refund rights you may have under applicable law.
7. Credits & transactional services
Some tiers include or allow the purchase of credits. Credits fund downstream execution — for example, compliance bundles, searches, and mailings — and are consumed as those services are performed. Credits are not prepaid subscription value; the subscription buys access to LienGuard the software, while credits pay for discrete transactional services on top of it.
Credits do not expire while your subscription is active. Credits have no cash value, are not redeemable for cash, and are not transferable except as we may expressly allow. The price and credit cost of any transactional service are those in effect when the service is requested.
For review: the treatment of unused credits on subscription lapse, non-renewal, or cancellation (for example, forfeiture, a grace period, or limited carryover) needs to be confirmed by JurisDeed and its counsel. Open item
8. No legal services / no attorney-client relationship
This is an important clause. Please read it carefully.
(a) Software and operational services only. JurisDeed provides software and operational services. JurisDeed is not a law firm, does not provide legal services or legal advice, and does not practice law. Your use of LienGuard, this site, or any communication with JurisDeed does not create an attorney-client relationship with JurisDeed, and nothing JurisDeed provides should be relied upon as legal advice.
(b) Legal enforcement is a separate engagement with TDLG. Any legal enforcement — including, for example, foreclosure or other litigation — is a separate, direct engagement between you and Tax Deed Law Group, LLC d/b/a Tax Deed Legal (TDLG), a separate and independent law firm, or counsel of your own choosing. That engagement is governed by TDLG’s own engagement terms and is subject to TDLG’s independent professional judgment. JurisDeed does not control, supervise, or stand behind TDLG’s legal work.
(c) JurisDeed never handles legal fees. JurisDeed does not receive, hold, or remit legal fees. Legal fees are never bundled into the LienGuard subscription and are billed and paid directly between you and TDLG (or your chosen counsel). Your subscription fees and any credits cover LienGuard software and transactional services only — never legal representation.
9. Acceptable use
You agree not to misuse LienGuard or the site. In particular, you will not:
- Use the service for any unlawful purpose or in violation of any applicable law or regulation;
- Access, copy, scrape, or harvest the service or its data except as the service expressly permits;
- Reverse engineer, decompile, or attempt to derive source code, or circumvent any security, rate-limiting, or access control;
- Resell, sublicense, or provide the service to third parties except as expressly authorized;
- Upload malware or content you have no right to share, or interfere with the integrity or performance of the service;
- Share account credentials or allow unauthorized users to access your account; or
- Use the service to develop a competing product or to misrepresent your identity or authority.
You are responsible for all activity under your account and for the accuracy and lawfulness of the data you put into LienGuard.
10. Intellectual property
LienGuard, this website, and all related software, designs, text, graphics, logos, and other content are owned by JurisDeed or its licensors and are protected by intellectual-property laws. Subject to these Terms and your payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use LienGuard for your internal business purposes during your subscription. We reserve all rights not expressly granted.
“JurisDeed,” “LienGuard,” and our logos are our marks; you may not use them without our prior written permission. If you provide feedback or suggestions, you grant us a perpetual, royalty-free license to use them to improve our products and services without obligation to you.
11. Customer data & privacy
You retain ownership of the data you submit to LienGuard (“customer data”). You grant us the rights necessary to host, process, and use customer data to provide, operate, secure, and improve the service, and to perform our obligations under these Terms. You are responsible for having the rights and permissions needed to provide that data to us.
Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the service, you also agree to the Privacy Policy.
12. Third-party services
LienGuard relies on third-party providers to operate — including Stripe for payment processing and the platform’s data hosting and infrastructure providers. Your use of features that depend on a third-party service may be subject to that provider’s own terms and privacy practices. We are not responsible for the acts, omissions, availability, or content of third-party services, and references to them are not endorsements. If a third-party service changes or becomes unavailable, affected features of LienGuard may change or be discontinued.
13. Disclaimers
THE SERVICE AND THE SITE ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, JURISDEED DISCLAIMS ALL WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DATA, DATE, DEADLINE, CALCULATION, OR STATUS PRESENTED BY THE SERVICE IS ACCURATE, COMPLETE, OR CURRENT. YOU ARE SOLELY RESPONSIBLE FOR INDEPENDENTLY VERIFYING ALL INFORMATION AGAINST PRIMARY SOURCES BEFORE RELYING ON IT.
14. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, JURISDEED AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR INVESTMENT, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT WILL JURISDEED’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE TOTAL FEES YOU PAID TO JURISDEED FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN OF THESE LIMITATIONS, SO SOME MAY NOT APPLY TO YOU.
15. Indemnification
You will defend, indemnify, and hold harmless JurisDeed and its officers, directors, employees, and agents from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the service, your customer data, your violation of these Terms or applicable law, or your infringement of the rights of any third party.
16. Suspension & termination
You may stop using the service at any time and may cancel as described above. We may suspend or terminate your access, in whole or in part, if you breach these Terms, if your payment fails or is reversed, if your use poses a security or legal risk, or as required by law. Where practical and not prohibited, we will give you notice and an opportunity to cure.
On termination, your right to use the service ends. Sections that by their nature should survive — including those on fees owed, intellectual property, disclaimers, limitation of liability, indemnification, and governing law — will survive. We will handle your customer data after termination as described in the Privacy Policy.
17. Governing law & disputes
These Terms are governed by the laws of the State of Louisiana, without regard to its conflict-of-laws rules, and the parties submit to the exclusive jurisdiction of the state and federal courts located in Orleans Parish, Louisiana, for any dispute not subject to other agreed resolution.
For review: the governing-law state and venue are proposed as Louisiana (Orleans Parish), but should be confirmed by JurisDeed and its counsel — Delaware is also possible as the state of incorporation. Open item [confirm: governing-law state & venue]
Before filing any formal proceeding, the parties will attempt in good faith to resolve the dispute informally by contacting each other. Any claim must be brought on an individual basis and not as a class action.
18. Changes to these terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date above and, for material changes, take additional steps where required by law (such as notice before the change takes effect). Your continued use of the site or LienGuard after an update means you accept the revised Terms. If you do not agree to a change, your remedy is to stop using the service and cancel as described above.
19. General
Severability. If any provision of these Terms is held unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
Entire agreement. These Terms, together with the Privacy Policy and any order or pricing details you accept, are the entire agreement between you and JurisDeed regarding the service and supersede any prior agreements on that subject. Our failure to enforce a provision is not a waiver.
Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, or sale of assets. These Terms bind and benefit the parties and their permitted successors and assigns.
